Operational By Laws of New Beginning Outreach Ministries, INC
Article 1: Name and Principle Office:
A. The name of this Corporation is New Beginning Outreach Ministries, Inc. This Corporation will be referred to in these by laws as NBOM.
B. NBOM is to maintain its principle office at Rt. 2 Box 118, Greensburg, St Helena Parish, LA 70441. The mailing address of this Corporation shall be PO Box 936, Greensburg, LA, 70441 Article II: Purpose
C. New Beginning Outreach Ministries, Inc shall operate exclusively for religious, charitable, educational, and distinct ecclesiastical purposes according to the meaning of section 501 © (3) of the Internal Revenue Code of 1954.
D. New Beginning Outreach Ministries is to remain a non-profit organization.
E. The corporation shall have and enjoy perpetual existence and succession.
F. NBOM, by act of Article 2 (n) of the Articles of Incorporation, will generally perform any and all functions, carry out all acts and engage in any lawful activity for which corporations may be formed under the non-profit laws and provisions in the Sate of Louisiana.
G. New Outreach Projects and Programs will be established as a need for them is identified and found to be necessary for the further development of NBOM with the expressed goal that the ministry's callings and purposes can continued to be accomplished.
Article II: Board of Directors:
A. NBOM shall be directed by a Board of Directors, which will be composed of no less than 3 and/or no more than 15 members.
B. The Board of Directors will be governed by a President, Vice-President, and also have a sitting Secretary/Treasurer.
C. Officers are to be duly elected or appointed to serve for a period of one year or until such a time as their successors are either elected or appointed to replace them.
D. Board Members will be added as needed. The need will be determined by the growth and needs of the ministry.
E. Members of the Board of Directors of New Beginning Outreach Ministries are to be born again disciples of Jesus Christ whose lives are above reproach and being lived in obedience to the Word of God.
F. The Board of Director’s shall retain the right and the power to make, amend, and repeal these internal by-laws provided that they are not in conflict with the articles of incorporation, the laws of the State of Louisiana and the United States of America.
G. No member of this board shall ever be held liable or responsible for the contracts, debts, or defaults of the corporation.
H. The Board will have a formal meeting yearly.
I. Called meetings of the Board to discuss any issue must take place within 10 days following the need for such a meeting to be held is revealed.
Article III: In regards to membership:
A. There will not be any differences among the membership of NBOM. Nor will there be any voting in regards to membership. Membership will be determined by one's desire to enjoin themselves to the ministry and to abide by the dictates thereof in obedience to the will and purposes of God.
B. Members will enjoy the same rights, powers, privileges, restrictions, and limitations as any other member.
C. Members will be expected to pray for and support the Ministry as led by the Holy Spirit.
Article IV: In regards to Leadership within the ministry:
A. Leaders of new outreach projects and programs will be so placed at the discretion of the Board of Directors of New Beginning Outreach Ministries.
B. The Board of Directors retains the right to also ask for the resignation of ministry outreach projects and programs should it become necessary for them to do so.
Article V: In regards to outreach projects and meetings:
A. Outreaches will include, but may not be limited to, the following:
1. Meetings and/or classes for all ages that will be structured to educate children and/or adults in regards to applying godly principles to every area of their lives
2. The writing of, compiling of, publication of, and distribution of Christian literature.
3. The establishment and care of local assemblies (fellowships), home and foreign mission works, day schools, and any other sort of outreach for the expressed purpose of empowering, caring for and educating others in positive life skills that are in agreement with godly principles
4. Outreach projects and programs into jails and prisons; including but not limited to visitation, personal correspondence, supplying Biblical study courses to inmates, etc. with the expressed intention of developing relationships in hopes that the person will continue to develop to become a productive citizen following their release from jail or prison.
5. Future outreach projects will develop in any manner that the Lord may direct, including but not limited to the development of projects and programs that address ex-offenders needs for on-going fellowship and housing.
5. Visitation outreach projects and programs into communities through all forms of communication including, but not limited to, personal visitation, use of the mail service (either by the regular mail or via the computer), hospital and nursing home visitation outreach projects, open air meetings, established times of fellowship, plus any other form of communication, be it written, verbal, via the computer, etc. for the expressed purpose of sharing the Gospel of Jesus Christ and the love of God with others in such a way to positively address their individual needs with God's love.
6. Continuing on-going development of projects and programs to establish NBOM as a Ministry of Helps that is fully prepared to address spiritual, emotional, and the physical needs of others as taught by Scripture: especially in regards to passages such as Isaiah 58, Matthew 25, Isaiah 42 and chapter 61.
Article VI: In regards to the development of ministers and outreach workers:
A. New Beginning Outreach Ministries Inc, shall – as directed by the Lord and through the leadership of the Holy Spirit, ordain ministers.
1. Anyone who desires ordination through New Beginning Outreach Ministries shall be expected to comply with the following:
a. Applicants must have a personal relationship with Jesus Christ as defined by the Scriptures. (John chapter 3, Romans 10:9-13; the book of ST John and Acts 1:8-2:21)
b. Applicants must be living a life that is above reproach and be known in the community in which they live as having a Christian testimony wherein their lives manifests fruits meet for salvation (John chapter 15; Galatians chapter 5; 1st Corinthians chapter 6 and 1st Timothy 3:6)
c. The applicant must have a clear understanding of Christian principles. They must be willing to be tested – either verbally or by written application concerning their understanding of Biblical Doctrines, Principles concerning Christianity, Evangelism and Leadership Responsibilities and Accountability.
d. Applicants must be recognized as having received a call from the Lord into Christian service and this call must be witnessed through their personal lifestyle and confirmed by the Holy Spirit before their application will be considered. (Romans chapter 12; 1st Corinthians chapters 12-14; and Ephesians chapter 4)
e. Applicants desiring ordination through New Beginning Outreach Ministries must be filled with the Holy Spirit as spoken of in Acts 1:8 and 1st Corinthians chapters 12-14)
VII: In regards to meeting times and places:
A. Meeting times and places and gatherings sponsored by NBOM will be determined by the needs and desires of individual fellowships and/or congregations that are to be developed by or enjoined to New Beginning Outreach Ministries.
B. Suggested service schedules are at least 2 times per week and should include at least one Sunday and/or mid-week service.
C. Emphasis in each meeting should be placed upon instructing adults and children in principles recorded in the Word of God. Appropriate age classes are to be established as the need arises.
VIII: In regards to finances:
A. Financial obligations are to be as follows:
1. 10% of all income received by New Beginning Outreach will be tithed to other mission organizations at the discretion of the Ministry’s Board of Directors.
2. An additional 5% of all income is to be set aside for benevolent funding purposes to meet needs as presented to the ministry.
3. 25% of offerings taken up during services will be offered to Lewis McNeil, or his successors. He (of they) will have the choice to accept the offerings or donate them back into the ministry's general fund in order that the ministry can accomplish its current programs and projects.
4. Any and all monies received for or donated for a specific person or project are to be either be given to the person or applied directly to the project for which it was intended.
5. In regards to compensation, all compensation received as a direct result of either specified or un-specified donations to the ministry will be deemed self-employment earnings by those who minster under the covering of New Beginning Outreach Ministries.
6. Amounts of monies that are to be donated to individuals will be determined by the funds available at the time the ministry was carried forth and at the discretion of the Board of Directors.
7. Any and all offerings given to the Ministry in the name of a specific person or toward a specific project will be given to the person and/or applied directly to the project.
8. Financial statements will be made available both to Board Members and the membership of the Ministry on a quarterly basis or whenever requested.
Article IX: In regards to money received by NBOM tithes and offerings:
A. Stipends or offerings received by anyone due to their involvement with New Beginning Outreach Ministries is to be considered self-employment income and should be filed thusly on their personal income tax forms.
B. The Secretary/Treasurer of the Board of Director’s, however, shall if they chose to do so, receive a stipend in the amount of $500.00 a month.
X: In regards to developmental issues within the ministry:
A. Involvement in any outreach connected or held by New Beginning Outreach will be open to anyone who desires to associate with the Ministry.
B. Leaders will be appointed to the various outreach projects and programs by the Members of the Board of Directors as directed by the Holy Spirit.
C. Until such a time that new leaders are raised up, C. Lewis McNeil is to be considered the executive director of all outreach projects and programs.
XI: In regards to business meetings:
A. Business meetings will be held at the discretions of the leadership. The are to be publicly announced, and open to the public.
B. Business meetings will be called at the discretion the Members of the Board of Directors when they deem it necessary for them to do so for the on-going work of the Ministry.
XII: In regards to movable, immovable, tangible and intangible property:
A. All property, movable or immovable, tangible or intangible, in full ownership or trust of New Beginning Outreach Ministries, Inc must be distributed among other Gospel Ministries should NBOM default or cease to exist.
B. Should such donations be necessary, the sitting Board of Directors will make the decision who the assets should be donated to by a 2/3 vote of the Board.
XIII: In regards to procedure:
A. Board Meetings and meetings of the fellowship of believers of New Beginning Outreach Ministries will follow procedural guidelines laid down by Robert’s Rules of Order.
1. In regards to procedure issues, including discipline, contractual agreements, etc. Robert's Rule of orders will be the rule of order followed by the ministry.
Please Note: By an act executed on July 18, 1991 and acknowledged on July 18, 1991 the State of Louisiana granted Corporate Existence to New Beginning Outreach Ministries. On August 27, 1991, the paperwork was filed in the Record of Non-Profit Corporations Book 343.
Amended By Laws of New Beginning Outreach Ministries requested by the Internal Revenue Service were requested and filed with them as follows should New Beginning Outreach Ministries default or cease to exist for any reason. By-Laws of operation were expanded, at the Board Member’s discretion, in 1999 to clarify the ministry’s stand on the development of an in-house discipleship for ex-offenders and other matters of clarify in regards to clarification of original by-laws
